"The new company, Gazpromneft, which will be created as a result of the merger [Gazprom and Rosneft] and must eventually include the Rosneft oil assets," he said, "will become a Gazprom subsidiary and will operate in accordance with the corporate management procedures, adopted by the company."
He also noted, "the main task of the transitional stage is to prevent the dilution of shareholding participating in the deal, as happened earlier in Gazprom."
The Gazprom Board of Directors decided to hold an extraordinary extramural meeting of the shareholders to make amendments to the company's statute.
Making changes to the Gazprom statute is because of a government proposal to increase the state's share in Gazprom's authorized capital by transferring 100% of Rosneft shares to Gazprom.
